Terms of Service
The legal agreement between you and Qube Compute LLP for the use of our GPU cloud infrastructure services. Governed by AIFC English Common Law.
Effective date: April 2026
1. Definitions & Interpretation
In these Terms of Service ("Terms"), the following definitions apply:
• "Qube Compute" / "we" / "us": Qube Compute LLP, a limited liability partnership registered under the Astana International Financial Centre (AIFC), Kazakhstan.
• "Client" / "you": Any individual or entity that registers for, accesses, or uses Qube Compute services.
• "Services": GPU cloud compute, colocation, managed Kubernetes, Slurm orchestration, API access, and any related infrastructure services.
• "GPU-Package-Hour": The billing unit representing one GPU compute package utilized for one hour.
• "Anchor Contract": A reserved-capacity agreement with a term of 6-24 months at discounted rates.
• "Mudaraba": An Islamic finance profit-sharing partnership structure certified by AFSA.
• "AIFC": Astana International Financial Centre, an independent jurisdiction operating under English Common Law.
2. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the Acting Law of the AIFC, which is based on the principles of English Common Law.
• Court Proceedings: All disputes shall be subject to the exclusive jurisdiction of the AIFC Court, with proceedings conducted in English by British-trained judges.
• Arbitration: Alternatively, disputes may be resolved through the International Arbitration Centre (IAC) at the AIFC, under IAC Arbitration Rules.
• Independence: The AIFC operates independently from Kazakhstan's domestic court system. Your legal rights are protected under an internationally recognized common law framework.
• Enforcement: AIFC Court judgments and IAC arbitral awards are enforceable in 160+ countries under the New York Convention.
3. Service Agreement & Tiers
Qube Compute offers three service tiers:
• Anchor Tier ($14/GPU-pkg/hr): Reserved capacity contracts of 6-24 months. Minimum commitment required. Early termination subject to remaining balance at Cloud On-Demand rates.
• Cloud On-Demand ($19/GPU-pkg/hr): Pay-as-you-go with no minimum commitment. Billed hourly based on actual usage.
• Spot/Night ($25/GPU-pkg/hr): Premium burst capacity and off-peak batch processing. Availability not guaranteed — workloads may be preempted with 2-minute notice.
All prices are in USD and exclusive of applicable taxes (note: 0% tax in SEZ PIT Alatau until 2029 under government investment contract).
4. Escrow & Payment Terms
All prepayments and reservation deposits are protected by institutional-grade escrow:
• Escrow Provider: Al Hilal Bank, operating under AIFC Sharia-compliant banking regulations.
• Fund Release: Escrowed funds are released to Qube Compute only upon verified delivery of GPU compute access to the Client.
• Non-Delivery Refund: If Qube Compute fails to deliver the contracted services within the agreed timeframe, the Client receives an automatic full refund from escrow. No claims process required.
• No Interest (Riba-Free): Zero interest is charged on escrowed funds, in compliance with Sharia principles.
• Payment Methods: SWIFT/wire transfer (USD/EUR) and cryptocurrency (USDC/USDT via Request Finance or Coinbase Commerce).
• Invoice Terms: Net-30 for Anchor clients. Prepaid for Cloud On-Demand and Spot tiers.
5. KYC/AML & Export Compliance
Access to Qube Compute services requires completion of mandatory compliance procedures:
• KYC Verification: All clients must provide valid identification, corporate registration, and beneficial ownership documentation before GPU access is activated.
• BIS Export Compliance: NVIDIA Rubin R100 NVL72 hardware is classified under ECCN 3A090 / 4A003.z. Clients must provide an End-User Certificate (EUC) confirming compliance with US Bureau of Industry and Security (BIS) regulations.
• Sanctions Screening: All clients are screened against OFAC SDN, EU Consolidated List, UN Security Council, and other global sanctions databases via ComplyAdvantage. Quarterly re-verification is mandatory.
• Prohibited Users: Services are not available to individuals or entities located in, or nationals of, sanctioned jurisdictions (including but not limited to: Iran, North Korea, Syria, Cuba, Crimea, Donetsk, Luhansk).
• Termination for Non-Compliance: Qube Compute reserves the right to immediately suspend or terminate services if a Client fails any compliance check, with escrowed funds returned minus any verified usage charges.
6. Service Level Agreement (SLA)
Qube Compute commits to the following service levels for Anchor and Cloud On-Demand tiers:
• Uptime Guarantee: 99.982% (Tier III TIA-942 standard), measured monthly. Excludes scheduled maintenance windows announced 72 hours in advance.
• Network Availability: 99.99% for InfiniBand fabric connectivity between GPU nodes.
• Power Redundancy: N+1 redundancy on all critical power systems (3×5MW Jichai gas generators, 2×8MW ABHM cooling).
• SLA Credits: If monthly uptime falls below 99.982%, Clients receive service credits:
— 99.9%-99.982%: 10% credit on affected month's invoice
— 99.0%-99.9%: 25% credit
— Below 99.0%: 50% credit
• Force Majeure: SLA obligations are suspended during events of force majeure, including natural disasters, government actions, grid-wide power failures, and acts of war.
7. Acceptable Use Policy
Clients agree not to use Qube Compute services for:
• Activities that violate any applicable law, including AIFC regulations, Kazakhstan law, or international sanctions.
• Training or deploying AI models designed for mass surveillance, autonomous weapons, or human rights violations.
• Cryptocurrency mining (proof-of-work) — GPU resources are reserved for AI/ML workloads.
• Distribution of malware, ransomware, or conducting cyberattacks.
• Processing data related to sanctioned entities or in violation of BIS export controls.
• Any activity that would cause Qube Compute to violate its AFSA Sharia compliance certification.
Violation of this policy may result in immediate service suspension without refund of consumed compute credits.
8. Intellectual Property & Data Ownership
• Client Data: All data uploaded, processed, or generated by Client workloads on Qube Compute infrastructure remains the exclusive property of the Client.
• Model Ownership: AI models trained on our infrastructure are 100% owned by the Client. Qube Compute claims no rights to trained models, weights, or outputs.
• No Data Mining: Qube Compute does not access, analyze, or use Client data or models for any purpose beyond providing the contracted services.
• Platform IP: Qube Compute's platform, APIs, orchestration tools, and documentation remain the intellectual property of Qube Compute LLP.
9. Limitation of Liability
• Maximum Liability: Qube Compute's total liability for any claim arising from these Terms shall not exceed the total fees paid by the Client in the 12 months preceding the claim.
• Exclusions: Qube Compute shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Data Loss: While we implement enterprise-grade redundancy, Clients are responsible for maintaining their own backups. Qube Compute is not liable for data loss resulting from Client error or force majeure.
• Escrow Protection: The above limitations do not affect the Client's right to automatic refund under the Al Hilal Bank escrow arrangement in case of non-delivery.
10. Term & Termination
• Anchor Contracts: Run for the specified term (6-24 months). Early termination by Client requires payment of remaining balance at Cloud On-Demand rates.
• Cloud On-Demand: May be terminated by either party with 30 days written notice.
• Immediate Termination: Qube Compute may terminate immediately for: (a) violation of Acceptable Use Policy, (b) failure of KYC/AML compliance, (c) non-payment exceeding 60 days.
• Data Retrieval: Upon termination, Clients have 30 days to retrieve their data. After this period, all Client data is permanently deleted.
• Survival: Sections relating to governing law, limitation of liability, and data ownership survive termination.
11. Modifications to Terms
Qube Compute reserves the right to modify these Terms with 30 days written notice to active Clients. Continued use of services after the notice period constitutes acceptance of modified Terms. Material changes to pricing or SLA terms for Anchor clients require mutual written agreement.
